Terms and Conditions

These terms and conditions are applicable to all SuperGrid clients and endeavours to make business dealings a pleasant experience for you. Please take a moment to read these Terms and Conditions to understand how they apply to you.

General definitions:

SuperGrid Holdings (Pty) Ltd: shall mean a Company incorporated in South Africa with registration number 2013/146050/07 and owner of the SuperGrid intellectual property
FanPrint: shall mean the virtual plot in the client's chosen stadium represented by the deed supplied by SuperGrid. The FanPrint does not entitle clients to actual ownership of land in a stadium. The deed represents virtual ownership of piece of land in a stadium. Furthermore the FanPrint does not entitle the client to any rights in a player.
FanCentric: shall mean the key principle under which SuperGrid SA operates namely that the Fan is all important
Ts&Cs: shall mean the Terms and Conditions set out hereunder
Rights Owners: shall mean those business partners from which SuperGrid obtains intellectual property rights in respect to its FanPrint and sports marketing.
Visitor: shall mean anyone that accesses the website www.supergrid.com
User: shall mean anyone who uses or registers on the website www.supergrid.com
Client: shall mean anyone who has purchased a FanPrint or utilized SuperGrid's services
Term: Any purchase of a FanPrint is valid for 12 months from date of purchase (initial period). The client has the first option to renew the FanPrint for a further 12 months by notifying SuperGrid one month prior to the expiry of the initial period of their intention to renew. The onus is on the Client to notify SuperGrid of his/her intention timeously.
Words importing: any one gender shall include the other gender,
The singular shall include the plural;
Natural persons include created entities and the state and vice versa.

Agreement

These Terms and Conditions form the agreement between you Client and SuperGrid. Below are specific Terms and Conditions which apply to the use of the website and on line purchasing. These along with these general Terms and Conditions form our agreement with you.

Changes to Agreement

SuperGrid will take reasonable steps to alert the Client that the T&C's under which they operate have been amended, changed or altered, however the onus is on the Client to view and familiarise themselves with the changes. SuperGrid may, in its sole discretion, change these T& C's or any part thereof at any time with or without notice

Privacy

SuperGrid shall take all reasonable steps to protect the Client's personal information. For the purpose of this clause, "personal information" shall be defined as detailed in the Promotion of Access to Information Act 2 of 2000 (PAIA).Your privacy and security of information is extremely important to us. We will not sell, release or license your information to any third parties unless authorised by you to do so or compelled by law to do so. We will comply with the Protection of Personal Information Act and the Consumer Protection Act. SuperGrid collects; stores and uses the abovementioned information for statistical purposes including but not limited to:

  • subject to the Client consent, to inform the Client of facts relating to the Client, access and use of the Website;
  • subject to the Client consent, to inform the Client about competitions and special offers from SuperGrid and/or its partners / affiliates;
  • to compile non-personal statistical information about browsing habits, click-patterns and access to the Website;
  • to verify the Client identity when transacting with SuperGrid and/or Marketplace Sellers;
  • to ensure that the goods are received by the addressee;
  • to perform customer experience and satisfaction surveys.

Termination

These T's & C's shall commence from the date on which they are published on the Website and continue indefinitely, as amended by SuperGrid from time to time, for so long as the Website exists and is operational, SuperGrid being entitled to terminate these T's & C's and/or shut down the Website at any time or to stop supplying any of the products offered on the website.

SuperGrid furthermore reserves the right to terminate a rights owners contract and that rights owner's rights in and to the license of a product offering. The product offering will then be discontinued. The Client will have no right for compensation in that instance. SuperGrid will use its best endeavours to ensure continuity on favourable terms with the respective sporting teams or rights owners but cannot guarantee these will not be terminated.

1. Website Terms and Conditions

By using www.supergrid.com (the "Website") whether as a visitor or a registered User (the "User" or the "Client") to browse or purchase any product on the Website you, the visitor / User / Client, are bound by these terms and conditions ("Terms & Conditions"). Please take a moment to read these Terms and Conditions to understand how they apply to the use of our website and products you may order or purchase on line.

www.supergrid.com is owned and operated by SuperGrid Holdings (Pty) Ltd, a company registered in terms of South African law with registration number: 2013/146050/07 (hereinafter referred to as "SuperGrid").

1.1 How our Terms and Conditions apply to you

These terms and Conditions apply to the use of our website. By using the website you acknowledge that you have read and understood the Terms and Conditions and agree that you are bound by them when using the website.

1.2 Terms and Conditions

You may only purchase goods from this website if you are 18 years or older. If you are under 18, you may only purchase goods from this website with consent of your legal guardian. By accepting these terms and conditions you confirm that you are at least 18 years of age or that you have your legal guardians consent.

1.3 Competitions

SuperGrid shall take all reasonable steps to protect the Client's information. For the purpose of this clause, "personal information" shall be defined as detailed in the Promotion of Access to Information Act 2 of 2000 (PAIA).

1.4 Disclaimer:

Whilst every effort has been made by SuperGrid and its suppliers of information, to ensure the proper performance of this website, the accuracy of the information/images and the reliability of the binary data on this website, SuperGrid, its affiliated companies, suppliers, or any of their employees, do not guarantee the availability of the Website, content and information offered on the Website or the accuracy of the information and/or images on this Website.

1.5 No warranties:

You are welcome to browse on our website for your own personal, non-commercial shopping and informational purposes, however use of the Website is entirely at your own risk. We make no representations or warranties of any kind, whether express or implied. To the fullest extent permitted by law SuperGrid excludes liability for any claims, losses, demands or damages of any kind whatsoever, including without limitation direct, indirect or consequential losses or damages. You agree to indemnify us against any loss suffered or liability incurred by reason of any act or omission on your part or that of a third party acting on your behalf in connection with your use of our website and /or your purchase of our product. Notwithstanding anything to the contrary in these terms negligence shall not at any time exceed more than double the monetary value of any order placed.

The Website may contain hyper-links to third party sites. SuperGrid is not responsible for the content of, or the services offered by those sites. The hyper-link(s) are provided solely for the Client convenience and should not be construed as an express or implied endorsement by us of the site(s) or the products or services provided therein. The Clients access those sites and use their products and services solely at the Client's own risk.

1.6 Governing Law and Jurisdiction

This Website is governed by South African law. Any dispute arising from our agreement with you shall, to the extent permitted by law, be referred to arbitration in Johannesburg applying the Uniform Rules of High Court of South Africa.

1.7 Security

The Website is intended for your personal use. Any person that delivers or attempts to deliver any damaging code to this Website or attempts to gain unauthorised access to any page on this Website shall be prosecuted and civil damages shall be claimed in the event that SuperGrid suffers any damage or loss. The Client agrees and warrants that the Client log-in name and password shall be used for the Client personal use only; and not be disclosed to any third party. The Client allows SuperGrid to take all reasonable steps to ensure the integrity and security of the Website and back-office applications. You may not interfere with any other persons use or enjoyment of the website You acknowledge that SuperGrid and its third party suppliers have not reviewed or endorsed the content of the sites linked to and from this Website and are not responsible for the content or actions of these sites.

1.8 Address for delivery of notices

SuperGrid chooses as its address at which it will receive all correspondence or legal notices for all purposes under these T's & C's, whether in respect of court process, notice, or other documents or communication of whatsoever nature, the following address: Teleco House, 9 Brand Hatch Close, Kyalami Business Park, Midrand, Gauteng, SA.

1.9 Termination

These T's & C's shall commence from the date on which they are published on the Website and continue indefinitely, as amended by SuperGrid from time to time, for so long as the Website exists and is operational, SuperGrid being entitled to terminate these T's & C's and/or shut down the Website at any time or to stop supplying any of the products offered on the website.

1.10 Intellectual Property Rights

Any and all copyright subsisting in the Website, including these T's & C's and Trademarks, vest in SuperGrid Holdings (Pty) Ltd, and all rights not expressly granted are reserved. All the content, trademarks and data on this Website, including but not limited to, software, databases, text, graphics, icons, hyperlinks, private information, designs and agreements, are the property of SuperGrid Holdings (Pty) Ltd or licensed to SuperGrid and as such are protected from infringement by local and international legislation and treaties.

1.11 Right to remove offensive material

SuperGrid will take reasonable steps to address and act on reasonable claims from Clients on content that the Client deems to be offensive. SuperGrid does not in any way support sexism, racism or pornography. In line with this commitment SuperGrid reserves the right, at its sole discretion to remove any content posted by a user where the content is deemed inappropriate and not within the ethos of SuperGrid. SuperGrid cannot screen or edit all the content available from the Website and does not accept any liability for illegal, defamatory or obscene content. The Client's are encouraged to inform SuperGrid of any content that may be offensive or illegal.

1.12 Receiving Marketing from us

1.13 Electronic Communications

When the Client visits the Website or sends e-mails to SuperGrid, the Client consents to receiving communications from SuperGrid electronically and agrees that all agreements, notices, disclosures and other communications sent by SuperGrid satisfies any legal requirements, including but not limited to the requirement that such communications should be "in writing".

1.14 Hyperlinks

Hyperlinks provided on this Website to non-SuperGrid sites are provided as is and SuperGrid does not necessarily agree with, endorse or sponsor the content on such web pages.

1.15 Framing

No person, business or web site may frame this site or any of the pages on this Website in any way whatsoever, without prior written consent from SuperGrid.

2. On Line Purchases

2.1 Registration

In order to purchase any products from the Website, you have to be a registered User and logged in using your own unique log in details. You are required to register with us before placing your first purchase order and to make use of certain functionality. Click here to register. Registration and use of our website constitutes acceptance of our Terms and Conditions including those applicable to on line purchases. It is your responsibility to ensure that the details you provide are correct and complete and to update the information when the information changes.

2.2 Passwords and Security

When you register you will be asked to create a username and password. Keep these confidential and do not disclose it to anyone. They are your responsibility and use of them is also your responsibility. If you suspect someone has access to these details please notify us immediately.

2.3 Creating an order

Orders can only be created using the website and by no other means.

2.4 Agreement of Sale

An Agreement of sale will only be effective when the Client electronically submits a successful order and a payment has been authorized and received by SuperGrid. Unless we have notified you that we do not accept your order or have cancelled it in terms of instructions given, we have accepted the order. The contract will be concluded in English.

2.5 Rights to No Sale

SuperGrid will endeavour to facilitate a clients's purchase as far as possible. However they will not be liable should the following conditions not be met:

  • Selecting a product without completing the purchase cycle does not constitute an agreement of sale; and/or constitute an order for such product;
  • if the product is not available when the purchase cycle is completed;
  • if there is no availability of a specific product;
  • if payment is refused by the financial institution;
  • Additionally, SuperGrid may limit quantity of product purchased by any one Client.

2.6 Returns

We are committed to operate our business in terms of the requirements of the Consumer Protection Act and our returns and refunds policy are aligned therewith. Once a FanPrint is purchased it cannot be resold or returned. SuperGrid reserves the right to introduce a trading platform for the Fanprint at its sole discretion. This would be the platform on which the client would be entitled to sell or trade their Fanprint.

2.7 Payments:

Any of the following credit cards may be used for payment: Visa and Mastercard. Credit cards may be added or removed from time to time at the sole discretion of SuperGrid. Your credit card details are encrypted and transmitted directly to our secure payment gateway.

All credit card transactions are encrypted. SuperGrid's registration documents and the Website's registered domain name are checked and verified.

At the time of the Client submitting the payment details, SuperGrid shall request payment authorization from the Credit/Debit Card institute. If such authorization is not obtained the order will fail and not progress further. The Client will see a message to contact their bank.

Only once the payment has been authorised will the sales order be dispatched from the SuperGrid for delivery to the Client.

By submitting your order and associated payment details you warrant that you are authorised to make payment with the card and that there are sufficient funds available to pay for the order.

There is no cancellation process permitted by SuperGrid once the order has been process and payment received.

2.8 Refunds:

Credit/Debit Card transactions shall only be refunded back to the account used for the original purchase. All refunds may take up to 21 working days to process.

2.9 Delivery:

Once payment has been received by SuperGrid, SuperGrid shall use its best endeavours to deliver the product between 15 working days, depending on delivery address and location. For delivery outside South Africa additional charges will be levied.

We cannot accept responsibility for delivery if the wrong address is provided.

Deliveries shall take place between Monday - Fridays 8:00am-17:00pm.

2.10 Risk and ownership:

All risk, including but not limited to risk of loss, theft, damage or unauthorised use, in and to the product which is the subject of the agreement of the sale shall pass to the Client on delivery thereof to the Client.

2.11 Record of Online Sale Order:

A record of each sales order and any related transaction between the Client and SuperGrid shall be maintained on the Online Website. The Client shall only be able to view and print such record during the term. It shall be the responsibility of the Client to retain the record of the relevant sale or related transaction thereafter.

2.12 Disclosure of Information:

SuperGrid shall to the extent permitted by law, receive or disclose the Client's personal information, documents, detailed call records and / or any other information for or to –

  • Any law enforcement agencies that require the information for the preventing or investigation of criminal activities.
  • Any of SuperGrid's shareholders, related entities, suppliers, agents or professional advisors for reporting, accounting, product supply, marketing and/or auditing purposes.
  • Notwithstanding anything to the contrary herein contained, SuperGrid shall be entitled to utilise the Client's call records for tracing purposes as required by it in terms of law.
